Terms of Service

1. Acceptance of Terms

By creating an account or using Purchasing Notebook (the “Service”), operated by Sierra PLM LLC (“Company,” “we,” “us”), you agree to be bound by these Terms of Service. If you are accepting on behalf of an organization, you represent that you have authority to bind that organization.

2. Service Description

Purchasing Notebook is an AI-powered procurement intelligence platform that processes uploaded purchasing documents (PDFs, spreadsheets), extracts structured data using artificial intelligence, and provides analytics including vendor comparison, cost trending, lead time analysis, and material sourcing coverage.

3. Accounts and Organizations

Each organization (“workspace”) is managed by the user who created it (the “admin”). The admin is responsible for all activity within the workspace, including activity by invited members. One organization per company domain is expected.

You are responsible for maintaining the security of your account credentials. You must promptly notify us of any unauthorized access.

4. Subscription and Billing

The Service offers a 30-day free trial. After the trial, continued access requires an active paid subscription. Subscriptions are billed per seat on a monthly or annual basis through Stripe. Prices are listed on our pricing page.

Subscriptions automatically renew unless cancelled before the end of the billing period. You may cancel at any time through the subscription settings or Stripe Customer Portal. Cancelled subscriptions remain active until the end of the paid period.

5. Data Usage and AI Processing

Documents you upload are processed by AI models (provided by Anthropic) to extract structured data. This processing occurs on secure infrastructure. Extracted data is stored in your organization’s isolated database and is not shared with other organizations.

We do not use your uploaded documents or extracted data to train AI models. Your procurement data is treated as confidential business information.

5a. Cookies, Analytics, and Advertising

On our public marketing pages (the home page, pricing, contact, terms, privacy, sign-up, and get-started), we use Google Analytics 4, Google Ads, and a LinkedIn tracking pixel to measure visits and attribute sign-ups to advertising campaigns. These services are loaded only with your prior consent via our cookie banner and are never loaded inside the authenticated application, where your procurement data is accessed.

6. Aggregated and Anonymized Insights

We may use anonymized and aggregated data (stripped of all company-identifying information) to improve the Service, generate industry benchmarks, and develop new features. No individually identifiable procurement data is shared with third parties.

7. Confidentiality

We treat all uploaded procurement data as confidential. Data is encrypted at rest and in transit. Access is limited to authorized members of your organization and essential Company personnel for support purposes.

8. Data Retention and Deletion

Your data is preserved for the duration of your active subscription. After cancellation, data is retained for 90 days to allow for reactivation. After 90 days, a final warning email is sent. Data is permanently deleted 30 days after the warning.

9. Intellectual Property

You retain full ownership of all data you upload and all data extracted from your documents. The Company retains ownership of the Service, its software, AI processing pipelines, user interface, and any aggregated or anonymized insights derived from usage data.

10. Limitation of Liability

AI-generated insights, cost analyses, and vendor comparisons are provided for informational purposes only. They are not a substitute for professional procurement judgment. We do not warrant the accuracy, completeness, or reliability of AI-extracted data.

To the maximum extent permitted by law, the Company’s total liability is limited to the amount paid by you in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages.

11. Termination

Either party may terminate the relationship at any time. You may cancel your subscription through account settings. We may suspend or terminate access for non-payment, violation of these Terms, or abuse of the Service.

12. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated with at least 30 days’ notice via email to the organization admin. Continued use of the Service after changes take effect constitutes acceptance.
